Governing law & jurisdiction
These terms and conditions, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject matter, or their formation, are governed by and construed in accordance with the laws of Denmark, without regard to conflict-of-law rules.
For business (B2B) purchases, the parties agree that the Danish courts shall have exclusive jurisdiction, and that any dispute shall be brought before the City Court of Odense (Retten i Odense) as the court of first instance.
For consumer (B2C) purchases, this choice of court does not deprive you of the protection of mandatory rules of the country in which you reside, and you retain any right you may have under applicable law to bring proceedings in the courts of your own country of residence.
Governing language
These terms and conditions are drafted in English, and the English-language version is the governing and legally binding version. Any translation into another language is provided for convenience only. In the event of any inconsistency, ambiguity, or conflict between the English version and a translated version, the English version shall prevail — except where mandatory law requires that a translated version, or information provided in a particular language, take precedence for that customer (for example, information that must be provided in Danish to a consumer resident in Denmark).
Consumer & business purchases
CC Athletics sells to both consumers (B2C) and businesses / institutions (B2B). Consumer purchases are subject to mandatory consumer protection rights under Danish and EU law, including the Danish Sale of Goods Act (købeloven) and EU distance selling regulations. Nothing in these terms limits or overrides your statutory rights as a consumer. For B2B purchases, the terms stated herein apply as agreed between the parties.
Limitation of liability
This section applies to the fullest extent permitted by applicable law. Nothing in these terms limits or excludes CC Athletics ApS’s liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be limited or excluded under mandatory law. For consumer (B2C) purchases, nothing in this section affects your mandatory statutory rights under Danish and EU law, including the Danish Sale of Goods Act (købeloven).
For business (B2B) purchases, the following limitations apply:
- Cap on total liability. CC Athletics ApS’s total aggregate liability arising out of or in connection with any order, product, or software — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total amount actually paid by the customer for the specific product or service giving rise to the claim.
- Excluded losses. CC Athletics ApS shall not be liable for any indirect, incidental, special, or consequential loss or damage, nor for any of the following, whether direct or indirect: loss of profits, loss of revenue, loss of anticipated savings, loss of business or business opportunity, business interruption, loss of goodwill, or loss, corruption, or inaccuracy of data or measurement results — even if CC Athletics ApS was advised of the possibility of such loss.
- Data and results. The customer is responsible for maintaining appropriate backups of any data and measurement results. CC Athletics ApS is not liable for any loss or corruption of data or results, however caused.
Product liability
Statutory product liability for personal injury and for damage to consumer property applies as provided by the Danish Product Liability Act (produktansvarsloven) and applicable EU law, and nothing in this section limits liability that cannot be limited under those rules. For consumer (B2C) purchases, this section does not reduce your mandatory statutory rights.
For business (B2B) purchases, the following applies:
- Damage to other property. To the fullest extent permitted by law, CC Athletics ApS is not liable for damage caused by a product to real or personal property used in a commercial setting (for example, floors, buildings, fixtures, or other equipment at a clinic, gym, laboratory, or research facility), except where such liability is mandatory under the Danish Product Liability Act.
- Customer indemnity (hold harmless). The business customer shall indemnify, defend, and hold CC Athletics ApS harmless against any claim, liability, cost, or expense (including reasonable legal fees) brought by a third party — including the customer’s own athletes, patients, clients, employees, or other users — arising out of the customer’s use, resale, installation, or operation of the products or software, except to the extent the claim results from CC Athletics ApS’s own gross negligence, wilful misconduct, or a defect for which CC Athletics ApS is liable under mandatory product liability law.
- Proper use. This section is conditional on the products being used in accordance with the User Manual and any instructions provided by CC Athletics ApS.
